Agreement to Terms

These Terms of Service govern your use of mintymedia.ai and any services provided by Minty Media ("we," "us," or "our"), a digital marketing agency based in Knoxville, Tennessee. By using this website or engaging our services, you agree to these terms.

If you do not agree, please do not use this website or our services.

Services

Minty Media provides website design and development, local search engine optimization (SEO), AI-powered tools, and related digital marketing services for local businesses. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate written agreement or proposal provided to the client.

Payment

Payment terms are outlined in each client proposal or service agreement. Generally:

• Project-based work (website builds) requires a deposit before work begins. The remaining balance is due upon project completion and before site launch.
• Monthly retainers are billed in advance at the start of each billing cycle.
• Invoices not paid within 14 days of the due date may result in suspension of services.
• All fees are non-refundable once work has commenced, except where otherwise specified in writing.

No Guarantee of Results

Search engine optimization and digital marketing outcomes depend on many factors outside our control, including search engine algorithm changes, competitive market conditions, and the client's industry. We do not guarantee specific search rankings, traffic levels, or revenue outcomes. We will apply our best professional effort to achieve the goals outlined in your service agreement, but we cannot and do not promise specific results.

Client Responsibilities

Clients are responsible for:

• Providing accurate business information, images, and content in a timely manner when requested
• Reviewing and approving deliverables within the timeframes specified in the project agreement
• Ensuring any content provided does not infringe on third-party intellectual property rights
• Maintaining accurate and current business information (hours, phone, address) on their Google Business Profile and other directories

Delays caused by the client may affect project timelines and do not entitle the client to a refund or rate reduction.

Intellectual Property

Upon receipt of full payment for a project, Minty Media transfers ownership of the website design and content created specifically for the client to that client. We retain the right to display completed work in our portfolio unless the client requests otherwise in writing.

We retain ownership of any proprietary tools, templates, workflows, or automation systems used in delivering services. These are licensed to the client for use during the engagement but are not sold or transferred.

Hosting and Maintenance

Monthly hosting and maintenance retainers cover website hosting, security updates, minor content updates (as defined in the service agreement), and technical support. "Minor updates" means text changes, image swaps, and similar low-effort modifications. Structural redesigns, new pages, and new feature development are billed separately.

We reserve the right to use third-party hosting platforms (including Cloudflare Pages) to deliver hosting services.

Termination

Either party may terminate a monthly retainer with 30 days' written notice. Project-based work may not be terminated after work has begun without forfeiting the deposit.

Upon termination, we will provide the client with all files and assets owned by the client. Hosting will remain active through the end of the paid billing period.

Limitation of Liability

To the maximum extent permitted by law, Minty Media's total liability for any claim arising from our services is limited to the amount paid by the client in the 90 days preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Governing Law

These Terms are governed by the laws of the State of Tennessee. Any disputes will be resolved in the courts of Knox County, Tennessee.

Changes to These Terms

We may update these Terms from time to time. The updated date at the top of this page reflects the most recent revision. Continued use of our services after a revision constitutes acceptance of the updated terms.
